📜 FriendZ – Terms & Conditions

1. Purpose of the Application

FriendZ is a social mobile application that helps users create and join small, friendly, local events. The app connects people around shared interests and activities such as food, sports, language exchange, cultural experiences, and social meetups.

2. Acceptance of Terms

By creating an account, accessing, or using FriendZ (the “App”), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, you must not use the App.

Continued use of the App after any changes to these Terms constitutes acceptance of those changes.

3. Eligibility

You must be at least 18 years old to use FriendZ. By using the App, you represent and warrant that you are at least 18 years of age. We do not knowingly collect information from or allow registration by individuals under 18.

4. User Responsibilities

4.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activities that occur under your account
You must notify us immediately of any unauthorized use of your account

4.2 Content & Behavior

You are solely responsible for all content you post, share, or transmit through the App
You agree to behave respectfully and lawfully with other users, both online and offline
You must provide accurate and truthful information in your profile and event listings

4.3 Compliance

You agree to comply with all applicable local, national, and international laws and regulations while using the App.

5. Event Participation

5.1 User-Generated Events

All events are created and organized by users, not by FriendZ
FriendZ does not endorse, verify, or guarantee the quality, safety, accuracy, or legality of any event
FriendZ is not responsible for the conduct of event organizers or participants

5.2 Personal Safety

You are solely responsible for your own safety and well-being when participating in any event
You should exercise caution and good judgment when meeting people through the App
We recommend meeting in public places and informing someone you trust about your plans
You participate in events at your own risk

5.3 No Guarantees

FriendZ makes no guarantees regarding:

Event attendance or cancellations
Behavior of other participants
Outcomes or experiences at events
Accuracy of event descriptions or locations

6. Prohibited Uses

Users are strictly prohibited from using FriendZ to:

Harass, threaten, intimidate, or impersonate others
Post or promote illegal, violent, hateful, discriminatory, or sexually explicit content
Organize events with malicious, fraudulent, or harmful intent
Use the App primarily for dating, romantic solicitation, or sexual encounters
Engage in commercial spam, advertising, or solicitation without authorization
Sell products or services through events without prior approval
Violate the intellectual property rights of others
Share false, misleading, or deceptive information
Attempt to hack, disrupt, or compromise the security of the App
Scrape, data mine, or collect user information without permission
Create multiple accounts or fake accounts
Use the App if you have been previously banned

7. User Content & License

7.1 Ownership

You retain ownership of all content you post on FriendZ (photos, text, event descriptions, etc.).

7.2 License Grant

By posting content on the App, you grant FriendZ a non-exclusive, worldwide, royalty-free, transferable license to use, display, reproduce, modify, and distribute your content within the App and for promotional purposes (marketing materials, social media, app store listings).

7.3 Content Responsibility

You represent and warrant that:

You own or have the right to post all content you submit
Your content does not violate any laws or third-party rights
Your content does not contain viruses or malicious code

8. Intellectual Property

8.1 FriendZ Property

The App, including its design, features, logo, text, graphics, and code, is owned by FriendZ and protected by copyright, trademark, and other intellectual property laws.

8.2 Restrictions

You may not:

Copy, modify, or create derivative works of the App
Reverse engineer, decompile, or disassemble the App
Remove any copyright or proprietary notices
Use the FriendZ name or logo without written permission

9. Moderation & Account Suspension

9.1 Right to Moderate

FriendZ reserves the right to:

Review, monitor, or remove any content or account at our discretion
Suspend or terminate accounts that violate these Terms
Take action without prior notice or warning

9.2 Reporting

Users can report inappropriate content or behavior through the App’s reporting features. We will investigate reports but are not obligated to take action.

9.3 No Liability for Moderation

We are not liable for any decisions regarding content moderation, account suspension, or termination.

10. Privacy & Data Protection

Your use of FriendZ is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information.

11. Third-Party Services

The App may integrate or link to third-party services (such as maps, payment processors, or analytics tools). Your use of these services is governed by their respective terms and privacy policies. FriendZ is not responsible for third-party services.

12. Payments & Fees

12.1 Current Terms

FriendZ is currently free to use. No payment is required to create an account or participate in events.

12.2 Future Features

We reserve the right to introduce paid features, premium subscriptions, or in-app purchases in the future. Such features will be subject to separate terms and clearly disclosed before purchase.

12.3 Refunds

All payments (if introduced) are final and non-refundable unless required by applicable law.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

13.1 “AS IS” Service

The App is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

13.2 No Liability

FriendZ, its founders, employees, partners, and affiliates shall not be liable for:

Any direct, indirect, incidental, special, consequential, or punitive damages
Injuries, losses, theft, disputes, or damages occurring during events
User behavior, content, or interactions
Interruptions, errors, or bugs in the App
Loss of data, profits, or business opportunities
Events that are canceled, misrepresented, or unsafe

13.3 Maximum Liability

Our total liability to you for any claim arising from your use of FriendZ shall not exceed the amount you paid to use the App in the 12 months prior to the claim (which is zero if you use the free version).

13.4 Jurisdictional Limitations

Some jurisdictions do not allow limitations on implied warranties or liability for incidental damages. In such cases, our liability shall be limited to the fullest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless FriendZ, its founders, employees, partners, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

Your use of the App
Your violation of these Terms
Your violation of any rights of others
Your participation in events
Content you post on the App

15. Termination

15.1 By You

You may delete your account at any time through the App settings or by contacting us at support@joinfriendz.com.

15.2 By Us

We reserve the right to suspend, restrict, or terminate your access to the App at any time, for any reason, with or without notice, including but not limited to:

Violation of these Terms
Fraudulent or illegal activity
Conduct harmful to other users or FriendZ
Extended inactivity

15.3 Effect of Termination

Upon termination:

Your right to use the App immediately ceases
We may delete your account and content
Provisions that should survive termination (liability, indemnification, governing law) remain in effect

16. Governing Law & Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Thailand, without regard to conflict of law principles.

16.2 Jurisdiction

Any dispute, claim, or controversy arising from or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts located in Bangkok, Thailand.

16.3 Waiver of Class Actions

You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

17. Changes to These Terms

We may update, modify, or replace these Terms at any time. Changes will be effective immediately upon posting within the App or on our website.

Your continued use of FriendZ after changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

Material changes will be communicated through the App or via email (if provided).

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FriendZ regarding your use of the App and supersede any prior agreements.

20. No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
